Is a nominee director legal in Germany?
Yes – nominee directorship is legal in Germany when it is based on a valid trust agreement (Treuhandvertrag). The trustee (nominee) appears as the formal managing director in the commercial register, but is contractually bound by the instructions of the beneficial owner. Compliance with all anti-money-laundering requirements (Geldwäschegesetz, GwG) is essential, in particular reporting the beneficial owner to the Transparency Register.
Who is listed in the commercial register for a nominee GmbH?
NXORA Verwaltungs UG, or the representative named by NXORA, is listed in the commercial register as managing director. The beneficial owner (the client) is not visible in the commercial register, but must be reported to the Transparency Register, as required by law.
For which company types does NXORA offer nominee services?
NXORA offers nominee and trustee directorship primarily for the GmbH (limited liability company) and UG (Unternehmergesellschaft, a limited-liability startup company). Subject to the relevant company-law requirements, the registered office can also be maintained at a different location.
Does the beneficial owner need to be a German resident?
No – the beneficial owner does not need to be a German resident. This is one of the main reasons why international entrepreneurs use nominee directorship. NXORA provides the required local presence in Germany. However, the identification requirements under the German Anti-Money Laundering Act (Geldwäschegesetz, GwG) and the reporting obligation to the Transparency Register apply.
